Terms of service

Welcome to The Asset Register (“application”, “service”) provided by DYDM Nigeria Limited (“DYDM”, “us”, “we”, “our).
We are a registered company under number 8339842 in Nigeria.
This Terms of Service (“Agreement”) is an agreement between us and you ("Customer", "Company", "user", "you", "your”, "they"). The use of our application constitutes acceptance and agreement to this Terms of Service as well as our Privacy Policy.
DYDM reserves the right to terminate this Terms of service for any reason at its sole discretion.

Contact Information

A necessary requirement to providing you with the Service is you providing us with accurate and up-to-date information when setting up your Company and user accounts, and during the course of our business relationship. Communications about the application with you will be by e-mail. You agree to provide us with a contact e-mail address that is active and monitored regularly. We have no responsibility, or liability, for interruptions in the Services that we provide, inconveniences or damages of any sort, based on communications that are misdirected as a result of inaccurate contact information.

Content Provided by Customer

Customer Content will include content you upload, submit, store or distribute and all user accounts you create via the application; you are responsible for your content and harm resulting from it. We may remove your content that violates applicable law or our terms and policies.

Service Changes

DYDM reserves the right to amend its service offerings and add, delete, suspend, or modify the Service and Service fees at any time at its sole discretion, however, prices are subject to change at the end of a payment term.

Service Fees

Services are provided on a prepayment basis and fees for services are billed over a customer chosen period with a start date and end date. All fees are fully earned when due and non-refundable when paid. The Service Fees do not include any applicable sales, use, revenue, excise or other taxes imposed by any taxing authority with respect to the Services or any software provided hereunder. If applicable, all taxes will be paid by the Customer.

One Time Set-up Fee

New customers are required to pay a one-time set-up fee, this fee is non-refundable and due before access to the application.

Non-Payment

Failure to remit payment for services by due date is a violation of this Agreement, access to the service will be suspended a day after. Failure to remit payment for three (3) months after the due date, shall result in termination of access to the service and all services shall be reclaimed. Upon such termination, we will retain and use your data as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements, but barring legal requirements, we will delete your company data including user accounts (though some data may remain in encrypted backups).

Cancellation

You may choose to close your account at any time for no reason, kindly send an email indicating so to info@dydm-ng.com. For security and privacy, all customer data remaining on our application after the cancellation date will be destroyed and unrecoverable for security and privacy reasons. It is your responsibility to back up your data prior to requesting Cancellation. DYDM is not responsible, and you agree to hold us harmless from, any liability or damage that you may sustain, should your data be destroyed after site cancellation.

Termination

DYDM has the right to suspend or terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. DYDM reserves the right to refuse service to anyone at any time.

DYDM Intellectual Property

By this Agreement, DYDM does not grant the Customer a transferable or exclusive right to the service and content. DYDM retains ownership of all intellectual property rights of any kind related to this application. We reserve all rights that are not expressly granted to you under this Agreement or by law.

Your Feedbacks

We will always be trying to make our application better and your feedback as a user is valuable. Should you decide to offer us some insights, knowledge, ideas, comments, recommendations or any other feedback, you agree that DYDM has the right to benefit from such feedbacks.

Governing Law

This Agreement shall be governed by Nigeria law.

Indemnity

You agree to indemnify and hold DYDM from any and all liabilities, claims and expenses, including attorneys’ fees, arising from your use of our application, including but not limited to your breach of this Agreement, or any other policy.

Disclaimer of Warranties

You agree to use our application and Service at your own risk. DYDM provides the application “as is” and “as available”, with no warranty of any kind either expressed or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, title, security, accuracy and non-infringement.
DYDM does not warrant that our application will meet your requirements; that our application will be uninterrupted, timely, secure, or error-free; that the information from our application is accurate, reliable or correct; that any defects or errors will be corrected; that our application will be available at any particular time or location.

Limitation of Liability

You agree that DYDM will not be liable to you for any loss of profits, data, revenue or for any incidental, special, consequential damages, however arising, that is from:

  • your use or inability to use our application
  • the use of your content
  • price change, feature modification
  • another service that makes our application work
  • unauthorized access to data
Whether or not we were notified of possible damages and even if a solution we provided failed, our liability is limited.

Force Majeure

Neither party is liable for any default or delay in the performance of any of its obligations under this Agreement (other than failure to make payments when due) if such default or delay is caused, directly or indirectly, by forces beyond such party's reasonable control, including, without limitation, fire, flood, acts of God, labor disputes, accidents, acts of war or terrorism, acts of government or other legal order, interruptions of transportation or communications, supply shortages or the failure of any third party to perform any commitment relative to the production or delivery of any equipment or material required for such party to perform its obligations hereunder.

Assignment

DYDM may assign this Agreement in part or in full to any person or entity any time with or without your consent. You may not assign this Agreement.

No Waiver

No waiver of rights under this Agreement, or any other DYDM policy shall constitute a subsequent waiver of this or any other right under this Agreement.

Complete Agreement

This Terms of Service, together with our Privacy Policy, represent the complete agreement between you and us. All rights and restrictions contained in the Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. Customer hereby represents that they are a corporation, limited partnership or other legal entity, validly existing under the laws of the state of its organization and the person acting on behalf of Customer is authorized to execute this Agreement on behalf of Customer.
